Bindiya’s expertise in dispute resolution extends to representing clients before various courts and tribunals PAN India in complex and robust disputes ranging from project & infrastructure, environment - pollution law issues, corporate shareholder disputes, oppression & mismanagement, disputes arising out of business transfer agreement, amalgamation schemes, ESOPs, slum sale stamp duty issues, contract - commercial, recovery and insolvency including employment disputes.
In the projects and infrastructure space, she has advised clients in high profile green and brown field projects, wherein, she has undertaken red flag due diligences, advised clients on environment laws & regulations including responding to show cause notices received from the Pollution Control Board, advising on licenses issued by FSSAI and certification by BIS.
Bindiya has advised clients on the entire gamut of project development in the infrastructure space including structuring issues, qualification / eligibility criteria for participating in the bid, reviewing EOI, RFQ, RFP, Invitation to bid. She is also proficient with advising on joint bidding agreements, consortium agreements, concession agreements, technical collaboration agreements and performance bank guarantees.
In the M&A space, Bindiya’s expertise encompasses structuring intricate transactions, asset and business transfers, leading the DD team, advising on FDI, ECB, Companies Act, FEMA, drafting/reviewing transaction specific documents. She has assisted several MNCs in setting up their branch offices, liaison offices and project offices in India.
Along with handling transactions in securities law and regulations space, i.e. SEBI takeover code, buy-back, delisting, ESOPs, insider trading, debenture issue, stamp duty implications, filings with the Ministry of Corporate Affairs, Bindiya is also proficient on various aspects of Competition law. She not only advises clients on anti-competitive agreements, abuse of dominant position, combinations, cartels including advising and preparing competition compliance policy but also represents clients before the Competition Commission of India.
Besides the above, Bindiya also specializes in the real estate space in providing a value proposition across transactions (PAN India) from the MOU stage, title due diligence till the closing of the transaction including financing deals and dispute resolution. She has substantial experience in advising clients on transfer of lease provisions in case of leases taken from Industrial Development Corporation Ltd (i.e. MIDC, GIDC, HSIDC, UPSIDC). She also handles litigations against such Industrial Development Corporations.
In the IP space, Bindiya’s expertise extends to trademark, designs, domain names, trade secrets, copyrights, drafting license agreements, IP policies, deed of assignment. She has expertise in handling contentious IPR matters which include passing off and infringement (counterfeit) actions.
Bindiya also has significant experience in advising clients on employment law, employment contracts, garden leave provisions, confidentiality and non-compete provisions its enforceability, employment policies as well as employment disputes.
Bindiya is an independent director on the board of Indian public listed companies. Along with being a Certified Corporate Director by the Institute of Directors, she is a founder member of the first batch of women for Independent Women Directors.
She is also a speaker on panel discussions at various seminars and conferences.
