Amendment to the Companies (Appointment and Qualification of Directors) Rules, 2014 and the Companies (Removal of Names of Companies from the Register of Companies) Rules, 2016

The Ministry of Corporate Affairs (“MCA”) has recently notified the following amendments to the existing rules:

(a)   Vide its notification dated 10th June 2022, MCA notified the Companies (Appointment and Qualification of Directors) Second Amendment, Rules, 2022 (“Director Appointment Amendment Rules”) to further amend the Companies (Appointment and Qualification of Directors) Rules, 2014 which now allow an independent director to apply for the restoration of its name in the databank after passing the online proficiency test.

(b)   Vide its notification dated 9th June 2022, MCA notified the Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2022 (“Strike Off Amendment Rules”) to further amend the Companies (Removal of Names of Companies from the Register of Companies) Rules, 2016 which now substitute certain forms and give the registrar the power to call for further information and direct the applicant to resubmit the application.
